Terms and Conditions

This User Agreement (the “Agreement”) constitutes a public offer and governs the terms of access to the GoInvest Academy by Elena Azarenko practical investment program.

By paying for participation in the program, the User confirms that they have carefully reviewed this Agreement, understand its contents, and accept all of its terms without reservation or exception.

1. General Provisions

1.1. This Agreement governs the relationship between AmericaTok Production LLC (the “Company”) and the person purchasing access to the practical investment program (the “Program Participant”).

1.2. The Company provides the Program Participant with access to proprietary informational materials offered under the GoInvest Academy by Elena Azarenko brand.

1.3. This Agreement constitutes a public offer.

1.4. Payment for participation constitutes full acceptance of the terms of this Agreement.

1.5. If the Program Participant does not agree with any provision of this Agreement, they must refrain from purchasing access to the program.

1.6. The Company may amend this Agreement without prior notice. A new version becomes effective upon publication on the website unless otherwise expressly stated.

3. Subject of the Agreement

3.1. The Company grants the Program Participant the right to access the practical investment program.

3.2. The practical program may include:

  • video materials;
  • written materials;
  • presentations;
  • checklists;
  • spreadsheets;
  • additional files;
  • homework assignments;
  • a private Telegram channel;
  • updates to materials;
  • other proprietary materials.

3.3. The content of the program may be changed or supplemented by the Company without prior notice.

3.4. The Company may update program materials in order to keep them current.

3.5. Such changes shall not be considered a change to the subject matter of this Agreement.

4. Access to the Program

4.1. After successful payment, the Company provides the Program Participant with a link to join the private Telegram channel.

4.2. All program materials are made available through the private Telegram channel or by another method specified by the Company.

4.3. The Company may change the method of providing access, provided that the Program Participant continues to have access to the program materials.

4.4. The Program Participant is responsible for having:

  • Internet access;
  • a device capable of displaying the materials;
  • an active Telegram account.

4.5. The Company is not responsible for inability to access the program due to issues related to the Program Participant’s equipment, software, or Internet connection.

5. Practical Program

5.1. The practical program is a proprietary informational product focused on investing in the U.S. stock market.

5.2. The program is intended for independent study by the Program Participant.

5.3. The Company independently determines:

  • the structure of the program;
  • the content of the modules;
  • the sequence of materials;
  • the format and presentation of materials;
  • the frequency of updates.

5.4. The Company may:

  • add new materials;
  • replace outdated materials;
  • improve the quality of the program;
  • change the structure of sections.

5.5. All such changes are made solely for the purpose of improving the quality of the practical program and shall not constitute a violation of this Agreement.

6. Program Fees and Payment

6.1. The cost of participation in the practical program is stated on the official GoInvest Academy by Elena Azarenko website.

6.2. The Company may change the participation fee at any time. Price changes do not apply to Program Participants who paid before the new pricing became effective.

6.3. Payment shall be made using the payment methods listed on the website.

6.4. The payment obligation is considered fulfilled once the payment has been successfully confirmed by the payment provider.

6.5. The Company does not store bank card details or other payment information of Program Participants.

6.6. All fees charged by banks, payment systems, and communication providers shall be paid by the Program Participant unless otherwise stated on the website.

6.7. If a payment provider declines or is unable to process a payment, the Company shall not be responsible for the inability to complete payment.

7. Rights and Obligations of the Company

The Company agrees to:

7.1. Provide the Program Participant with access to the program materials after payment has been confirmed.

7.2. Provide access to program materials through the private Telegram channel or by another method determined by the Company.

7.3. Update program materials when necessary in order to keep them current.

7.4. Process the personal data of Program Participants in accordance with the Privacy Policy.

The Company has the right to:

7.5. Change the content, structure, design, and sequence of program materials.

7.6. Add new materials without prior notice.

7.7. Change the participation fee for new purchasers.

7.8. Temporarily suspend access to the program for technical maintenance.

7.9. Restrict or terminate a Program Participant’s access in the event of a violation of this Agreement.

7.10. Use any lawful technical means to protect proprietary materials.

8. Rights and Obligations of the Program Participant

The Program Participant agrees to:

8.1. Use the materials solely for personal informational purposes.

8.2. Not share the link to the private Telegram channel with third parties.

8.3. Not provide third parties with access to program materials.

8.4. Not copy program materials in whole or in part.

8.5. Not distribute program materials by any means.

8.6. Not publish program materials on the Internet, social media, messaging platforms, file-sharing services, or other resources.

8.7. Not use program materials to create their own courses, programs, consultations, webinars, or other commercial products without the Company’s written consent.

8.8. Follow the communication rules established for the private Telegram channel.

8.9. Not post advertisements, links to third-party projects, or materials unrelated to the program.

9. Intellectual Property

9.1. All materials of the practical program are the intellectual property of AmericaTok Production LLC or are lawfully used by the Company.

9.2. Copyright protection applies to all program materials, including:

  • video materials;
  • presentations;
  • documents;
  • images;
  • spreadsheets;
  • checklists;
  • graphic elements;
  • logo;
  • brand identity;
  • website design;
  • written materials;
  • proprietary methods;
  • other materials.

9.3. The Program Participant is granted a limited, non-exclusive right to use the materials for personal purposes.

9.4. Without the Company’s prior written permission, it is prohibited to:

  • copy materials in whole or in part;
  • record the screen while viewing materials;
  • distribute materials;
  • sell materials;
  • transfer materials to third parties;
  • publish materials publicly;
  • use materials for commercial purposes;
  • create derivative products based on program materials.

9.5. Copyright infringement may result in liability under applicable law.

10. Rules for Use of the Private Telegram Channel

10.1. Access to the private Telegram channel is provided exclusively to the Program Participant.

10.2. The invitation link is personal and may not be shared with third parties.

10.3. The Program Participant is prohibited from:

  • sharing the invitation link with other persons;
  • organizing group viewing of program materials;
  • distributing channel materials outside the private community;
  • representing themselves as a representative of GoInvest Academy by Elena Azarenko;
  • publishing false or misleading information about the program;
  • violating communication rules.

10.4. The Company may remove a Program Participant from the private Telegram channel without a refund in the event of:

  • sharing access with third parties;
  • copyright infringement;
  • distribution of program materials;
  • unauthorized commercial use of materials;
  • repeated violations of communication rules;
  • actions capable of causing harm to the Company, the GoInvest Academy by Elena Azarenko brand, or other Program Participants.

10.5. Termination of access on the grounds set forth in this section does not release the Program Participant from the obligation to comply with the provisions of this Agreement relating to intellectual property protection and confidentiality.

11. Changes to the Practical Program

11.1. The Company may improve the practical program at any time in order to maintain or improve its quality and relevance.

11.2. Without prior notice, the Company may:

  • change the structure of the program;
  • change the sequence in which materials are studied;
  • add new materials;
  • replace outdated materials;
  • update information to reflect changes in laws, financial markets, brokerage services, tax rules, and other circumstances.

11.3. Such changes shall not constitute a violation of this Agreement and shall not entitle the Program Participant to a refund.

11.4. The Company independently determines the list of materials included in the practical program.

11.5. The Company may perform technical maintenance that temporarily restricts access to certain program materials.

12. Use of the Practical Program

12.1. The practical program is a proprietary informational product.

12.2. The program is intended solely for independent review and study of the materials.

12.3. The program is not a licensed educational program, does not constitute professional training or retraining, and does not provide state-recognized diplomas, certificates, or other educational credentials.

12.4. The Program Participant independently determines how to use the information received.

12.5. The Company does not control the Program Participant’s actions after the program materials have been reviewed.

13. Limitation of Liability

13.1. The materials of the practical program are provided solely for informational purposes.

13.2. Information provided in the program reflects the author’s views at the time of publication and may change without prior notice.

13.3. The Company does not provide individualized investment, financial, legal, accounting, or tax advice.

13.4. No program material, comment, Telegram message, publication, or response from a Company representative constitutes:

  • an individualized investment recommendation;
  • an offer to buy or sell financial instruments;
  • a guarantee of profit;
  • a promise of any specific financial result.

13.5. All investment decisions are made solely by the Program Participant.

13.6. The Company shall not be liable for any financial losses, damages, lost profits, or other consequences resulting from the use of program materials.

13.7. Investing in financial markets involves the risk of partial or complete loss of invested funds.

13.8. Past investment performance does not guarantee similar results in the future.

13.9. The Company does not guarantee that the Program Participant will achieve any financial goals.

14. Use of Artificial Intelligence Technologies

14.1. The Company may use artificial intelligence technologies and other digital tools in the preparation, editing, formatting, translation, voice production, and updating of practical program materials.

14.2. The use of such technologies does not affect ownership of copyright in the program materials.

14.3. All materials undergo editorial review before publication.

14.4. The Company retains exclusive rights to all materials regardless of the methods used in their preparation.

15. Age Restrictions and Tax Information

15.1. The practical program is intended for individuals who are at least 18 years old.

15.2. Individuals under the age of 18 may participate in the program only with the consent of a legal guardian.

15.3. Any tax information contained in the program materials is provided solely for general informational purposes.

15.4. The Company does not provide individualized tax advice.

15.5. The Program Participant is solely responsible for complying with the tax laws applicable in their country of tax residence.

15.6. When necessary, the Company recommends consulting licensed or qualified tax professionals, accountants, or attorneys.

15.7. The Company shall not be responsible for decisions made by the Program Participant based on general tax information contained in the program materials.

16. Force Majeure

16.1. The Company shall not be liable for full or partial failure to perform its obligations under this Agreement if such failure results from circumstances beyond its reasonable control.

16.2. Force majeure circumstances include events that the Company could not reasonably foresee or prevent, including but not limited to:

  • natural disasters;
  • fires;
  • floods;
  • earthquakes;
  • epidemics and pandemics;
  • military actions;
  • terrorist acts;
  • widespread power outages;
  • Internet disruptions;
  • Telegram outages;
  • payment system failures;
  • actions of governmental authorities;
  • changes in legislation;
  • other circumstances beyond the Company’s reasonable control.

16.3. If such circumstances occur, the time for performance of the relevant obligations shall be extended for the duration of such circumstances.

17. Dispute Resolution and Governing Law

17.1. This Agreement shall be governed by the laws of the State of Wisconsin, USA, unless otherwise required by mandatory provisions of applicable law.

17.2. The parties agree to first attempt to resolve any dispute through negotiation.

17.3. To submit a claim or complaint, the Program Participant may contact the Company using the contact information provided on the website.

17.4. The Company shall review the request within a reasonable period of time and provide a response.

17.5. If a dispute cannot be resolved through negotiation, it shall be resolved in accordance with applicable law.

18. Use of the GoInvest Academy by Elena Azarenko Brand

18.1. The name GoInvest Academy by Elena Azarenko, the logo, brand identity, website design, images, proprietary materials, and other brand elements are the intellectual property of AmericaTok Production LLC or are lawfully used by the Company.

18.2. Without the Company’s prior written consent, it is prohibited to:

  • use the name GoInvest Academy by Elena Azarenko;
  • use the logo;
  • use the brand identity;
  • create websites, Telegram channels, groups, social media pages, or other resources that create the impression of an official association with GoInvest Academy;
  • represent oneself as an employee, representative, or partner of the Company without proper authorization;
  • accept payments, collect funds, or provide services on behalf of GoInvest Academy by Elena Azarenko.

18.3. The Company may take any lawful measures necessary to protect its brand, copyrights, and business reputation.

19. Final Provisions

19.1. This User Agreement constitutes a public offer.

19.2. The Company may amend this Agreement at any time.

19.3. A new version becomes effective upon publication on the official website unless another effective date is specified in the revised version.

19.4. Continued use of the website or program materials after publication of a revised version constitutes the Program Participant’s acceptance of the amendments.

19.5. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19.6. This User Agreement, Privacy Policy, Refund Policy, and Disclaimer are interconnected documents and collectively govern the use of the website and participation in the practical program.
